We’re looking for a Senior Counsel – Corporate, to join our growing legal team and to provide clear and practical advice to our finance, accounting, treasury, tax, people, and corporate development teams. The ideal candidate will have deep subject matter expertise in U.S. securities law, capital markets and corporate governance. M&A experience is a plus, but not required.

What You’ll Do:

  • Assist with all aspects of securities law compliance and SEC reporting/disclosure requirements; you should be comfortable providing substantive input on disclosure, not just looking for precedent.
  • Help lead capital markets transactions, including debt and equity transactions, and then provide on-going advice on covenants, investor approvals, and reporting.
  • Advise our corporate development team on M&A transactions; you won’t be shy about sharing your opinions and will see the deal through from execution to integration.
  • Support corporate governance, by helping set agendas, prepare materials, and coordinate across teams to deliver high quality board and committee meetings.
  • Help draft and administer insider trading policies, 10b5-1 plans, and other corporate policies.
  • Work closely with our IR, Comms, and Marketing teams to review and provide input on earnings scripts, press releases, and brand management.
  • Partner with other critical stakeholders across accounting, finance, tax, treasury and people.
  • Dabble in other areas like Fintech, ESG, real estate, and partnerships.

What You’ll Bring:

  • 5+ years of legal experience at a top tier law firm and/or in-house legal department; you should have a J.D. and be a current member in good standing of at least one U.S. state bar.
  • Experience advising public companies on corporate governance and securities matters; a deep knowledge of SEC filings and associated disclosure requirements.
  • You should have excellent interpersonal skills and business judgment; an ability to distill complex issues and concisely explain why it matters is truly key.
  • You don’t need to be an expert in everything, but you should have a strong self awareness around what you know and what you don’t know. You should have a sense of curiosity and desire to learn what you don’t know.
  • Have an ability to handle sensitive/confidential information requiring a high level of discretion, respect, and integrity. Ability to discern matters that require privacy and confidentiality, and matters that benefit from broader input and collaboration.
  • Be proactive, driven, and adaptable; you should be able to prioritize and balance multiple projects, path-find, and recalibrate advice in view of shifting priorities, legal developments, and risk tolerance.
